For a private limited liability company, which is the most common legal entity chosen by foreign investors, there is no statutory minimum share capital. This means a company can be incorporated with a nominal share capital, often as low as EUR 1, EUR 100, or EUR 1,000, divided into shares of EUR 1 each. This flexibility significantly reduces the initial financial barrier to entry for entrepreneurs and small businesses.

While there is no legal minimum, it is common practice for companies to register with a nominal share capital of EUR 1,000, divided into 1,000 shares of EUR 1 each. This amount is typically fully paid-up upon incorporation. It is important to distinguish between the 'authorised share capital' and the 'issued and paid-up share capital'. The authorised share capital is the maximum amount of share capital that a company is permitted to issue to shareholders, as stated in its Memorandum of Association. The issued and paid-up share capital is the portion of the authorised capital that has actually been issued to shareholders and for which payment has been received by the company.

For public companies, the requirements are more stringent. A public company must have a minimum share capital of EUR 25,629. This higher threshold reflects the greater public interest and regulatory oversight associated with public entities.
