Korzyści podatkowe i zachęty dla nowych firm w Hongkongu

Introduction

Hong Kong remains one of the world’s most attractive jurisdictions for company formation due to its simple, business-friendly legal framework, strategic location in Asia, and competitive tax environment. For entrepreneurs and multinational groups considering business registration and corporate structure planning, understanding the specific tax benefits and incentives available to new companies is essential for efficient tax planning and compliance. This article explains Hong Kong’s principal tax features, practical steps for company formation, costs, timelines, required documents, and the incentives that make Hong Kong a preferred base for regional and global operations.

Why Hong Kong is attractive for business

Hong Kong’s appeal stems from several enduring advantages:

  • Territorial tax system: only profits sourced in Hong Kong are taxable.
  • Competitive corporate tax rates: headline rate of 16.5% for corporations and a two-tier profits tax regime that gives relief on initial profits.
  • Low or no indirect taxation: no VAT/GST, no capital gains tax, and no withholding tax on dividends.
  • Straightforward company formation: simple incorporation rules, English-language legal environment, and robust rule of law.
  • Strong financial and professional services ecosystem: world-class banks, legal and accounting firms, and a growing regulatory framework for fintech and innovation.
  • Strategic connectivity to Mainland China and Asia-Pacific markets, reinforced by growing treaty and trade linkages.

These features together support flexible corporate structures, efficient cross-border operations, and straightforward business registration.

Key tax features and incentives

Corporate tax rate and two-tier profits tax

The standard corporate profits tax rate in Hong Kong is 16.5% on assessable profits for corporations. Under the two-tier profits tax regime (introduced to support SMEs), the first HKD 2 million of profits of a qualifying corporation is taxed at a concessionary rate of 8.25%, with profits above that threshold taxed at the 16.5% rate. This structure benefits smaller companies and groups with local Hong Kong profits.

Territorial taxation and offshore profits

Hong Kong taxes profits based on their source. Profits derived from activities carried out and income generated outside Hong Kong can be exempt from Hong Kong profits tax if the taxpayer can demonstrate the profits’ offshore source. Claiming offshore exemption requires strong documentation and commercial substance showing that the central management and control or the operations that generate the profits were outside Hong Kong.

No VAT, no capital gains tax, and no withholding on dividends

Hong Kong does not impose a general sales tax (VAT/GST). There is no tax on capital gains, and dividends paid by Hong Kong-resident companies are typically not subject to withholding tax. Interest and royalties are also generally not subject to withholding tax under domestic law
