Corporate Tax Rates and Incentives in Luxembourg: A Complete Overview for Businesses

Luxembourg, a Grand Duchy nestled in the heart of Europe, has long distinguished itself as a premier destination for international business and investment. Its political stability, strategic location, highly skilled workforce, and robust legal framework contribute to its appeal. Central to this allure is its sophisticated corporate tax regime, which, while subject to ongoing international tax reforms, continues to offer competitive rates and a diverse array of incentives designed to foster economic growth and innovation. Understanding these intricacies is crucial for any entrepreneur or multinational corporation considering establishing or expanding operations in this dynamic jurisdiction.

Understanding Luxembourg's Corporate Tax Framework

Luxembourg's corporate tax system is based on a combination of corporate income tax (CIT), municipal business tax (MBT), and a solidarity surcharge. The interplay of these taxes determines the effective tax rate for companies operating within the Grand Duchy. The tax year generally aligns with the calendar year, though companies can elect for a different fiscal year.

Corporate Income Tax (CIT) Rates

The standard corporate income tax rate in Luxembourg is progressive, depending on the taxable income. For the 2023 tax year and beyond, the rates are structured as follows:

  • For taxable income not exceeding EUR 175,000: The CIT rate is 15%.
  • For taxable income between EUR 175,001 and EUR 200,000: A specific calculation applies, resulting in a rate of EUR 26,250 plus 31% on the income exceeding EUR 175,000. This effectively creates a marginal rate that ensures a smooth progression.
  • For taxable income exceeding EUR 200,000: The CIT rate is 17%.

In addition to the CIT, a solidarity surcharge of 7% is levied on the CIT amount. This surcharge contributes to the national employment fund. Therefore, the effective CIT rates, including the solidarity surcharge, are approximately 16.05% for income up to EUR 175,000 and 18.19% for income exceeding EUR 200,000.

Municipal Business Tax (MBT)

The municipal business tax (MBT) is levied by the municipalities and varies depending on the commune where the company is established. The most common rate, particularly in Luxembourg City, is 6.75%. This rate is applied to the adjusted commercial profit, which is calculated based on the corporate income tax profit, with certain adjustments. For instance, 50% of the net wealth tax is deductible from the MBT base. The MBT is also deductible as an expense for CIT purposes, which slightly reduces the overall effective tax burden.

Combining the CIT, solidarity surcharge, and MBT, the overall effective corporate tax rate for companies in Luxembourg City with taxable income exceeding EUR 200,000 currently stands at approximately 24.94% (17% CIT + 1.19% solidarity surcharge + 6.75% MBT, with MBT being deductible for CIT).
