Germany's company law is designed to protect creditors and ensure business stability. Share capital, also known as nominal capital or stated capital, serves as a financial buffer and a sign of commitment from the founders. It is not merely a formality but a fundamental aspect that dictates the legal form, operational flexibility, and perception of the company. The choice between a GmbH and a UG largely hinges on the available share capital and the long-term strategic vision for the business.

The GmbH: The Gold Standard of German Company Formation

The GmbH is by far the most popular legal form for companies in Germany, known for its limited liability and strong reputation. It is suitable for a wide range of businesses, from startups to established enterprises. The key characteristic of a GmbH is its prescribed minimum share capital.

Minimum Share Capital for a GmbH:

The German Limited Liability Companies Act (GmbHG) mandates a minimum share capital of 25,000 EUR for a GmbH. This capital must be contributed by the shareholders, either in cash (cash contributions) or in kind (non-cash contributions, e.g., assets, intellectual property). While the full 25,000 EUR must be subscribed, only a portion needs to be paid up at the time of registration.

Payment Requirements at Registration:

At least 50% of the minimum share capital (i.e., 12,500 EUR) must be paid into the company's bank account before the company can be registered in the commercial register (Handelsregister). This amount must be freely available to the company's management. If there are multiple shareholders, each shareholder must pay at least 25% of their subscribed share, provided that the total paid-up capital amounts to at least 12,500 EUR. The remaining capital must be paid up later, typically as the company requires it, but it remains a liability of the shareholders.

Non-Cash Contributions (Sachgründung):
