The Lda is by far the most popular choice for small and medium-sized enterprises due to its simpler structure and lower minimum capital requirements. Foreign investors can own 100% of a Portuguese company, and there are no restrictions on the nationality of directors, though at least one director must be appointed.

The entire registration process is largely overseen by the 'Conservatória do Registo Comercial' (Commercial Registry Office) and the 'Finanças' (Tax Authority). While the process has been streamlined with online platforms like 'Empresa na Hora' (Company in an Hour), proper preparation of documents remains paramount to avoid delays.

Essential Pre-Registration Steps and Documentation

Before initiating the formal registration, several critical preliminary steps and associated documents are required. These lay the groundwork for a successful company setup.

1. Company Name Approval and Certificate of Admissibility

The first step involves choosing a unique company name. This name must be approved by the 'Registo Nacional de Pessoas Coletivas' (RNPC – National Registry of Legal Entities). You'll need to submit a request for a Certificate of Admissibility (Certificado de Admissibilidade de Firma ou Denominação). This certificate confirms the availability and uniqueness of your chosen name and also assigns a provisional corporate tax number (NIPC – Número de Identificação de Pessoa Coletiva). This NIPC is crucial for all subsequent steps.

2. Share Capital Deposit

For an Lda, there is no legally mandated minimum share capital, though a symbolic amount like €1 is technically permissible. However, it is highly advisable to define a reasonable share capital that reflects the company's initial operational needs and credibility, typically starting from €1,000 to €5,000
